在此特别提醒用户认真阅读、充分理解本协议（特别是粗体下划线标注的内容）：
本《用户注册协议》中“用户”是指拟下载、安装、使用“IGOODIN CO., LIMITED”及其关联公司（以下简称IGOODIN公司）运营的SeaWhale及IGOODIN公司运营的其他软件服务，申请注册成为IGOODIN公司用户的个人或者企业。
用户同意此注册条款，视为对本协议的阅读和接受，并被理解为用户同意接受本协议各项条款的约束，对用户具有法律约束力。
本注册条款自用户在注册页面勾选同意后生效。
第一条 SeaWhale服务简介及本协议适用
1-1SeaWhale（以下亦简称“本软件”或“SeaWhale”）向其会员用户提供网络加速器服务。
1-2用户的下载、安装、使用、账号获取和登录等行为将视为对本协议的阅读和接受，并被理解为用户同意接受本协议各项条款的约束。
1-3本协议内容与IGOODIN公司发布的《隐私政策》（详见本协议附件或将来可能发布的更新政策）及IGOODIN公司已经发布的或将来可能发布/更新的各类规则是不可分割的整体，具有同等法律效力。本协议可由IGOODIN公司随时更新并通知用户。在IGOODIN公司更新本协议条款后，如果用户不接受更新后的条款，请立即停止使用IGOODIN公司提供的本软件和接受相关服务。如用户继续使用IGOODIN公司提供的本软件和接受相关服务，将被视为已接受更新后的本协议条款。
第二条 用户保证
2-1用户承诺并保证自己是具有完全民事行为能力和完全民事权利能力的自然人、法人、实体和组织。用户在此保证所填写的用户信息是真实、准确、完整、及时的，并且没有任何引人误解或者虚假的陈述，且保证IGOODIN公司可以通过用户所填写的联系方式与用户取得联系。限制行为能力人应在法定代理人陪同下阅读本协议并取得法定代理人对本协议全部内容，以及限制行为能力人依据本协议接受服务和支付费用的全部行为的同意；无行为能力人除非依法由法定代理人进行代理，否则不得接受本协议约定的任何服务。除非用户接受本协议所有条款，否则用户无权下载、安装或使用SeaWhale及其相关服务。
2-3用户承诺将及时更新其用户信息以维持该等信息的有效性。
2-4如果用户提供的资料或信息包含有不正确、不真实的信息，IGOODIN公司保留取消用户会员资格并随时结束为该用户提供服务的权利。
2-5以代理人身份代理其他自然人或者单位进行注册用户必须向IGOODIN公司提供代理人和被代理人的详细资料和信息及授权书面文件，未向IGOODIN公司提供上述资料信息及文件的，IGOODIN公司将视注册者为会员。
2-6用户充分理解IGOODIN公司将通过电子邮件或手机短信的方式与注册会员保持联络及沟通，用户在此同意IGOODIN公司通过电子邮件或手机短信方式向其发送包括会员信息、SeaWhale商品及服务信息在内的相关商业及非商业联络信息。
第三条 知识产权声明
3-1本软件由IGOODIN公司提供。本软件的一切版权、商标权、专利权、商业秘密等知识产权，以及与软件相关的所有信息内容，包括但不限于：文字表述及其组合、图标、图饰、图表、色彩、界面设计、版面框架、有关数据、印刷材料、或电子文档等均受中华人民共和国的著作权法、商标法、专利法、反不正当竞争法和相关国际条约以及其他知识产权法律法规的保护，除涉及第三方授权的软件或技术外，IGOODIN公司享有上述知识产权。
3-2未经IGOODIN公司事先明示的同意，用户不得为任何营利性或非营利性的目的自行实施、利用、转让或许可任何三方实施、利用、转让上述知识产权，IGOODIN公司保留追究上述未经许可行为之法律责任的权利。
3-3在遵守本协议及IGOODIN公司公布的《隐私政策》及已经发布的或将来可能发布/更新的规则的前提下，用户可以在单一一台终端设备上安装、使用、显示、运行本软件的一份副本。用户不得对本软件或者本软件运行过程中释放到任何计算机终端内存中的数据及本软件运行过程中客户端与服务器端的交互数据进行复制、更改、修改、挂接运行或创作任何衍生作品，包括但不限于使用非IGOODIN公司提供的插件、外挂或非经授权的第三方工具/ 服务接入本软件和相关系统。
3-4保留权利：本协议中未明示授权给用户的其他一切权利，仍归IGOODIN公司所有。
3-5内容所有权：本软件及相应服务中的文字、软件、声音、照片、视频、图表，以及在广告中的全部内容，均属于IGOODIN公司及相关权利人所有，并受法律的保护。用户仅能在IGOODIN公司的授权下使用这些内容，而不得擅自复制或以任何其他形式进行使用。
第四条 用户须知
4-1所有用户均为SeaWhale会员。关于SeaWhale会员的会员制度、会员服务和会员活动均由IGOODIN公司制定和发布。
4-2SeaWhale会员可申请开通付费会员服务。
4-3用户应在充值服务界面通过IGOODIN公司认可的支付方式完成支付以开通付费会员服务。用户在开通付费会员服务时，应仔细核对帐号名称、开通服务类型与时长等具体信息。用户在开通付费会员服务后，主张充错帐号、选错服务类型或时长的，IGOODIN公司不予认可，不予退还已收取的费用。
4-4付费会员服务仅限于所对应的SeaWhale帐号之权利人通过该帐号使用。用户应妥善保存有关帐号、密码，并对该帐号进行的所有活动和行为负责，禁止赠与、借用、租用、转让或售卖SeaWhale帐号。如因非IGOODIN公司原因致使用户的SeaWhale帐号和/或密码泄漏，或因用户保管、使用、维护不当造成任何损失的，IGOODIN公司无须承担与此有关的任何责任。
4-5为了保证SeaWhale用户的使用体验，IGOODIN公司将严格检测用户违规占用流量的不当操作，包括但不限于工作室类型账号异常流量、持续加速游戏以外的其他应用等行为。如经IGOODIN公司监测及识别该等用户账号存在前述不当操作行为的，IGOODIN公司有权根据行为严重性选择暂时或永久封禁该违规账号。
4-6非经IGOODIN公司或IGOODIN公司授权开发并正式发布的其它任何由本软件衍生的软件均属非法，下载、安装、使用此类软件，将可能导致不可预知的风险，由此产生的一切法律责任与纠纷一概与IGOODIN公司无关。
4-7用户注册成功后将得到一个用户名和密码，用户凭用户名和密码享受SeaWhale向其会员用户提供的商品和服务。
4-8用户将对用户名和密码安全负全部责任，并且用户对以其用户名进行的所有活动和事件负全责。用户有权根据SeaWhale规定的程序修改密码。
4-9非经SeaWhale书面同意，用户名和密码不得擅自转让或者授权他人使用，否则用户应承担由此造成的一切后果。
4-10用户若发现任何非法使用用户帐号或存在安全漏洞的情况，请立即通过客服热线通告IGOODIN公司。

第五条 服务条款的修改和服务体系修订
IGOODIN公司有权在必要时修改服务条款，IGOODIN公司服务条款一旦发生变动，将会在重要页面上提示修改内容。如果不同意所改动的内容，用户可以主动取消获得的网络服务。如果用户继续享用SeaWhale网络服务，则视为接受服务条款的变动。IGOODIN公司保留随时修改其服务体系和价格而不需通知用户的权利，IGOODIN公司修改其服务和价格体系之前用户就具体服务与IGOODIN公司达成协议并已按照约定交纳费用的，IGOODIN公司将按照已达成的协议执行至已交纳费用的服务期期满。
第六条 用户的权利和义务
6-1用户有权利拥有自己在SeaWhale的用户名和密码并有权利使用自己的用户名和密码随时登录SeaWhale网站的会员专区。
6-2请您妥善保管好您的账户密码，切勿告知他人，同一账号多人在线会影响您的正常使用。因私自告诉他人密码造成的账户损失，用户需自行承担。
6-3用户有权利享受SeaWhale提供的互联网技术和信息服务，并有权利在接受SeaWhale提供的服务时获得SeaWhale的技术支持、咨询等服务，服务内容详见相关产品介绍。
6-4用户保证不会利用技术或其他手段破坏及扰乱SeaWhale网站以及其他合作客户的网站。
6-5用户应尊重IGOODIN公司及其他第三方的知识产权和其他合法权利，并保证在发生上述事件时尽力保护IGOODIN公司及其雇员、合作伙伴等免于因该等事件受到影响或损失；IGOODIN公司保留用户侵犯SeaWhale知识产权时终止向该用户提供服务并不退还任何款项、追究赔偿的权利。
6-6对由于用户向IGOODIN公司提供的联络方式有误以及用户用于接受IGOODIN公司邮件的电子邮箱安全性、稳定性不佳而导致的一切后果，用户应自行承担责任，包括但不限于因用户未能及时收到SeaWhale的相关通知而导致的后果和损失。
6-7正常使用IGOODIN公司提供的游戏加速服务不会导致游戏封号，由于用户自身做出违反游戏服务准则的有关行为（在游戏中使用第三方软件包括但限于外挂、脚本、辅助软件等），以及使用其他加速器导致IP频繁变换造成的封号及损失，IGOODIN公司不承担责任。
6-8用户保证其使用SeaWhale服务时将遵从国家、地方法律法规、行业惯例和社会公共道德，不会利用SeaWhale提供的服务进行存储、发布、传播如下信息和内容：违反国家法律法规政策的任何内容（信息）；违反国家规定的政治宣传和 /或新闻信息；涉及国家秘密和 /或安全的信息；封建迷信和 /或淫秽、色情、下流的信息或教唆犯罪的信息;博彩有奖、赌博游戏;违反国家民族和宗教政策的信息；防碍互联网运行安全的信息；侵害他人合法权益的信息和 /或其他有损于社会秩序、社会治安、公共道德的信息或内容。用户同时承诺不得为他人发布上述不符合国家规定和 /或本服务条款约定的信息内容提供任何便利，包括但不限于设置 URL、BANNER 链接等。用户承认IGOODIN公司有权在用户违反上述时有权终止向用户提供服务并不予退还任何款项，因用户上述行为给SeaWhale造成损失的，用户应予赔偿。
6-9用户在此明确同意，下列行为均为严重损害IGOODIN公司权益的行为，如用户实施了下列行为中的一项或多项，IGOODIN公司有权在不通知用户的情况下，终止向其提供付费会员服务，并有权限制、冻结或删除相应的SeaWhale帐号或清空其权益。就此IGOODIN公司无须给予任何补偿或退费，由此产生的全部责任由用户自行承担。如因实施系列行为给IGOODIN公司或第三方造成其他损失的，应由用户负责全额赔偿：
(1)以营利为目的，为自己或他人获得付费会员服务；
(2)将付费会员帐号以出租、出借、出售等任何形式提供给第三方使用；
(3)将通过付费会员服务获得的任何内容用于个人学习、研究或欣赏之外的用途；
(4)盗用他人SeaWhale帐号进行付费会员注册或使用；
(5)以任何机器人软件、蜘蛛软件、爬虫软件、刷屏软件或其它非IGOODIN公司认可的方式获得付费会员服务；
(6) 通过不正当手段或以违反诚实信用原则的行为获得付费会员服务。
6-10用户在遵守法律及本协议的前提下可依本协议使用本软件。用户无权实施包括但不限于下列行为：
（1）通过非IGOODIN公司开发、授权或认可的第三方兼容软件、系统登录或使用IGOODIN公司软件及服务，或针对IGOODIN公司的软件和服务使用非IGOODIN公司开发、授权或认证的插件；
（2）删除本软件及其他副本上任何关于版权的信息、内容；
（3）对本软件进行反向工程、反向汇编、反向编译等；
（4）对本软件相关信息，未经IGOODIN公司事先明示同意，擅自实施包括但不限于下列行为：使用、出租、出借、复制、修改、链接、转载、汇编、发表、出版，建立镜像站点、擅自借助本软件发展与之有关的衍生产品、作品、服务、插件、外挂、兼容、互联等。
（5）进行任何危害计算机网络安全的行为，包括但不限于：使用未经许可的数据或进入未经许可的服务器/帐号；未经允许进入公众计算机网络或者他人计算机系统并删除、修改、增加存储信息；未经许可，实施或企图实施探查、扫描、测试本软件系统或网络的弱点或其它可能破坏网络安全的行为；实施或企图实施干涉、破坏本软件系统或网站的正常运行，传播恶意程序或病毒以及其他可能破坏干扰正常网络信息服务的行为；伪造TCP/IP数据包名称或部分名称；
（6）其他以任何不合法的方式、为任何不合法的目的、或以任何与本协议不一致的方式使用本软件和IGOODIN公司提供的其他服务；
用户若违反上述约定，IGOODIN公司有权采取终止、完全或部分中止、完全或部分限制本软件使用功能的处理。
6-11对于用户违法或违反本协议的约定使用而引起的一切责任，由用户负全部责任，一概与IGOODIN公司及合作单位无关；如因此导致IGOODIN公司及其关联公司、合作伙伴受到损失的，用户应当进行赔偿。同时IGOODIN公司有权根据用户的行为性质，在不事先通知用户的情况下，采取包括但不限于中断使用许可、停止提供服务、限制使用、删除用户帐号、追究法律责任等措施。
第七条 SeaWhale的权利和义务
7-1IGOODIN公司应根据用户选择的服务以及交纳款项的情况向用户提供合格的网络技术和信息服务。
7-2IGOODIN公司承诺对用户资料采取对外保密措施，不向第三方披露用户资料，不授权第三方使用用户资料，除非：
（1）依据本协议条款或者用户与IGOODIN公司之间其他服务协议、合同、在线条款等规定可以提供；
（2）依据法律法规的规定应当提供；
（3）行政、司法等有权部门要求 SeaWhale提供；
（4）用户同意SeaWhale 向第三方提供；
（5）IGOODIN公司解决举报事件、提起诉讼而提交的；
（6）IGOODIN公司为防止严重违法行为或涉嫌犯罪行为发生而采取必要合理行动所必须提交的；
（7）IGOODIN公司为向用户提供产品、服务、信息而向第三方提供的，包括IGOODIN公司通过第三方的技术及服务向用户提供产品、服务、信息的情况。
7-3IGOODIN公司在《隐私政策》规则下有权使用用户资料。
7-4IGOODIN公司保留在用户违反国家、地方法律法规规定或违反本在线注册条款的情况下终止为用户提供服务并终止用户帐号的权利，并且在任何情况下，IGOODIN公司对任何间接、偶然、特殊及继起的损害不负责任。
7-5尊重用户个人隐私信息的私有性是IGOODIN公司的一贯制度，IGOODIN公司将会采取合理的措施保护用户的个人隐私信息，附件查看《隐私政策》。
第八条 软件的安装、使用、升级及终止
8-1用户仔细阅读并接受本协议条款，并完成相应的安装程序后，便成为本软件的使用者。用户同意并了解，只有在遵守本协议全部约定的情况下，用户方可使用本软件及IGOODIN公司提供的与本软件有关的服务。
8-2IGOODIN公司保留在任何时候为用户提供本软件的修改、升级版本的权利。软件新版本发布后，IGOODIN公司不保证旧版本软件的继续可用。
8-3用户拥有未经事先通知IGOODIN公司的情况下，自行中断或终止本软件使用，自行卸载本软件的权利。用户知悉，本软件卸载后无法再使用本软件功能及相关服务。
8-4IGOODIN公司经事先通知用户，可根据业务实际需要修改软件功能、中断或中止软件相关服务。如IGOODIN公司已就此事先通知用户的，就该等行为给用户造成的任何损失，用户同意IGOODIN公司不需对用户或任何第三方负责。
8-5用户有权随时申请终止其会员资格或其在IGOODIN公司申请的一项或多项服务，但已交纳款项不得要求退还。
8-6IGOODIN公司有权根据实际情况决定取消为用户提供的一项或多项服务，但应退还用户为该服务所交纳款项的剩余部分，除此之外IGOODIN公司不承担任何责任。
8-7用户申请成为IGOODIN公司后应当遵守IGOODIN公司不时作出的关于反垃圾邮件的决议，用户承诺不会利用IGOODIN公司的服务进行任何涉及垃圾邮件的行为，包括但不限于用户利用SeaWhale服务器发送垃圾邮件；用户发送垃圾邮件中包含 SeaWhale服务器或IP 地址的相关信息；用户所有的网站中包含出售邮件列表、邮件地址搜索软件、邮件群发软件等支持垃圾邮件服务的内容；用户发送的垃圾邮件中包含其在 SeaWhale注册域名信息等可能使国内及国际反垃圾邮件组织认为SeaWhale或SeaWhale用户与垃圾邮件事件有关的内容或信息。用户理解一旦发生垃圾邮件事件将对SeaWhale及其所有用户造成不可挽回的巨大损失，因此IGOODIN公司发现用户有涉及垃圾邮件的行为将立即停止为该用户提供任何服务，无论用户在SeaWhale享有的服务是收费或者免费亦无论该服务是否直接与发送垃圾邮件的行为相关，IGOODIN公司有权在用户涉及垃圾邮件事件时取消该用户的SeaWhale会员资格并保留对因用户涉及垃圾邮件给IGOODIN公司造成损失索赔的权利。
第九条 退款规则
9-1支持产品
安卓端（谷歌商店付费用户除外）首次购买SeaWhale会员，可以申请退款。
IOS、 谷歌商店首次付费用户请自行联系苹果/谷歌申请退款。
9-2 因加速器线路问题导致无法正常使用、线路延迟过高/丢包频繁且持续超过三天的给予退款，其他个人主观原因不予退款；
9-3 只有新开通套餐的订单可以申请退款，续费套餐无法退款；
9-4每个帐户只能申请一次退款。我们以自然人来定义帐户，无论您更换用户名重新注册、使用新的手机号注册，只要存在关联证据，我们都认为是一个帐户；
9-5 退款不适用范围（满足以下任一款即无法退款）
（1）活动促销产品或奖品不支持折现及退款；
（2）从渠道或代理商处购买并开通套餐的不予退款，请联系渠道或代理商处理；
（3）因本地环境问题造成的产品使用不畅不予退款。如无线信号弱、本地网络延迟高、电信运营商网络波动等。以 ping 本地网关（延迟超过 1ms 或波动超过正负 1ms）、baidu.com（延迟超过 80ms）、qq.com（延迟超过 80ms）、 延迟为判断标准；
（4）产品遭受攻击，某些线路或产品服务短暂（不超过三天）的网络不畅、访问不畅、闪断不予退款。一般某个地区线路都不可用超过 3 小时，官方会对受影响用户进行补偿；
（5）不支持某款游戏、不想玩了、某加速器延迟更低、感觉产品体验不流畅等一切主观原因不予退款；
注：部分游戏官方服务器频繁故障或对区域、个人用户进行限制，表现难以界定，且不属于我方责任，因此不予退款；
9-6退款规则（请了解并熟知如下流程）
（1）联系客服，提出您的退款理由和订单号，请根据客服要求提供用户名、游戏、游戏地区、使用的线路等信息并配合调试，确认问题后才可以进入退款流程。
（2）退单是按支付订单进行退款，而非按账号进行退款。因第三方系统限制，退款款项将在您申请日的次月15日前到账(如遇节假日则顺延到账）如4月1日或4月30日的退款都将在5月15日前到账。账户退款可能存在延迟；
（3） 因微信及支付宝等第三方支付平台限制，微信渠道支付用户最多支持一年内发生的订单退款，支付宝渠道支付用户最多支持半年内发生的订单退款，实际以支付渠道返回结果为准；
（4）退单将计算折旧系数，比如购买的订单有效期是1年，如果您在半年时候进行退单，那么折旧系数为0.5。为了保障您的使用，无论退款与否，因带宽资源，运营资源，设备资源等必须开支的费用都是依据订单生效而实际产生的，不因您的退款行为而有所减少；
（5）退单需根据您支付订单的金额来收取少量的手续费（月卡4RMB，季卡6RMB，半年卡8RMB，年卡10RMB），因为每笔订单和退单我们都需要支付给支付系统一定的手续费，也是防止恶意重复退单行为需要。
（6）退单时，若您在海鲸相关活动中过奖品，则系统在退款时候会相应扣减您获奖奖品的对应价值；如通过您的订单抽中鼠标，那么退款时候，我们会扣减对应鼠标的价值，因为我们无法支持回收您的奖品且无法衡量其剩余价值。
（7） 在您提交申请退款且我们确认接受您的退款后，以任何形式获得的加速时长均作废，并且不再享受海鲸加速器的任何付费会员服务。
综上所述：
折旧系数 = 本笔订单的剩余可用有效期（单位：天） / 本笔订单的可用有效期（单位：天）
最终可退单金额 = （本笔订单购买价格 - 已使用分钟数原价每分钟价格） 折旧系数 - 手续费 - 对应奖品价值（如果您的订单抽中了奖品）
第十条 争议解决及法律适用
本协议的订立、履行、解释及争议的解决均适用中华人民共和国法律并排除其他一切的冲突法的适用。本协议签订于昆明市盘龙区。如双方就本协议的内容或其执行发生任何争议（包括但不限于合同纠纷或者其他财产性权益纠纷），双方应友好协商解决；协商不成时，双方同意将争议交由本协议签订地有管辖权的人民法院管辖并处理。
第十一条 法律责任与不可抗力条款
11-1因用户违反本协议或其他有效的服务条款的约定，而导致任何第三方主张任何索赔、要求或损失的，用户同意负担全部赔偿责任，并使IGOODIN公司及/或其关联公司、合作伙伴免受任何赔偿责任。
11-2用户理解并同意，自主选择下载和／或使用本软件和所有与本软件一同提供或通过本软件提供的第三方软件所产生的的风险，由用户自行承担。对因下载或使用本软件和此类第三方软件而对计算机系统造成的损坏或数据的丢失，应由用户承担全部责任。
11-3IGOODIN公司对不可抗力导致的损失不承担责任。本条款所指不可抗力包括：天灾，法律法规或政府指令的变更，因网络服务特性而特有的原因如境内外基础电信运营商的故障、计算机或互联网相关技术缺陷、互联网覆盖范围限制、计算机病毒、黑客攻击等因素，及其他合法范围内的不能预见、不能避免并不能克服的客观情况。
第十二条 附则
12-1IGOODIN公司和/或其关联公司、合作伙伴将根据市场与技术的发展，向用户提供与本软件相关的各种互联网以及移动通信增值服务，包括免费和收费的增值服务。IGOODIN公司和/或其关联公司、合作伙伴保留对相关增值服务收取费用及改变收费标准、方式的权利；如相关服务由免费变更为收费服务，IGOODIN公司和/或其关联公司、合作伙伴将以适当的形式进行通知，用户可自主选择接受或拒绝该等收费服务。
12-2IGOODIN公司有权在服务中或通过服务投放各种广告和宣传信息，任何这类促销方法，包括运输货物、付款、服务、商业条件、担保及与广告有关的描述都只是在相应的用户和广告销售商之间发生。IGOODIN公司不承担任何责任，IGOODIN公司没有义务为这类广告销售负任何一部分的责任。
12-3若用户对本软件或本软件相关服务有任何意见或改进的建议，均可向IGOODIN公司提出。请注意，如果您这样做，还会授予IGOODIN公司和第三方在本软件及IGOODIN公司提供的其他软件中无偿使用和加入您的意见或建议的权利。
12-4本注册条款中有关条款若被权威机构认定为无效，不应影响其他条款的效力，也不影响本服务条款的解释、违约责任及争议解决的有关约定的效力。
12-5一方变更通知、通讯地址或其他联系方式，应自变更之日起及时将变更后的地址、联系方式通知另一方，否则变更方应对此造成的一切后果承担责任。用户同意，IGOODIN公司的有关通知只需在IGOODIN公司有关网页上发布即视为送达用户。
12-6因IGOODIN公司上市、被收购、与第三方合并、名称变更等事由，用户同意IGOODIN公司可以将其权利和/或义务转让给相应的SeaWhale权利/ 义务的承受者。
12-7IGOODIN公司不行使、未能及时行使或者未充分行使本条款约定或者按照法律规定所享有的权利，不应被视为放弃该权利，也不影响IGOODIN公司在将来行使该权利。
用户在此再次确认并保证已经完全阅读并理解了上述会员注册条款并自愿正式进入SeaWhale产品和使用会员在线注册程序，接受上述所有条款的约束。

This User Registration Agreement refers to individuals or enterprises intending to download, install, and use software services operated by IGOODIN CO., LIMITED and its affiliates (hereinafter referred to as "IGOODIN"). This includes the "SeaWhale" software and other services provided by IGOODIN.
By agreeing to this registration agreement, the user acknowledges having read and accepted all terms, thus consenting to be legally bound by them.
This agreement takes effect once the user selects "agree" on the registration page.
Article 1: Overview of SeaWhale Services and Applicability of this Agreement
1. SeaWhale (hereinafter referred to as "the Software" or "SeaWhale") provides network acceleration services to its members.
2. Users' actions, including downloading, installing, using, and logging into their accounts, are deemed as reading and accepting this agreement. Users consent to be bound by its terms.
3. This agreement, along with IGOODIN’s Privacy Policy (see the appendix of this agreement or future updates) and other rules published or updated by IGOODIN, constitute an inseparable whole with equal legal validity.IGOODIN may update this agreement and notify users accordingly. If a user disagrees with the updated terms, they must immediately cease using the software and related services. Continued use of the software and services will be deemed acceptance of the updated terms.
Article 2: User Assurance
1. The user certifies that they possess full civil capacity and civil rights. Users must ensure that the information they provide is accurate, complete, and up-to-date, with no misleading or false statements. IGOODIN reserves the right to contact users through their provided details.Users with limited civil capacity must obtain consent from their legal guardian before registering and agreeing to this agreement. Users without capacity for civil conduct cannot use the services unless represented by a legal guardian.
2. Users agree to update their information promptly to ensure its validity.
3. IGOODIN reserves the right to revoke membership or terminate services if users provide incorrect or false information.
4. Users acting on behalf of others (individuals or entities) for registration must submit detailed information and written authorization to IGOODIN. Otherwise, the registering party will be considered the sole member.
5. Users agree to receive communications, including membership information, product details, and promotional messages, via email or SMS from IGOODIN.
Article 3: Intellectual Property Rights Statement
1. The software is provided by IGOODIN. All copyrights, trademarks, patents, trade secrets, and other intellectual property rights related to the software, as well as associated content such as text, graphics, icons, designs, layout frameworks, data, printed materials, or electronic documentation, are protected by applicable laws of the People's Republic of China and international treaties. IGOODIN holds ownership of these rights, except for third-party software or technologies.
2. Without prior written consent from IGOODIN, users are prohibited from using, transferring, or licensing these intellectual property rights for any commercial or non-commercial purposes. IGOODIN reserves the right to pursue legal action against unauthorized use.
3. Users may install, use, display, and run a single copy of the software on one device, provided they comply with this agreement and related rules, including the Privacy Policy. Users are prohibited from copying, modifying, reverse-engineering, or creating derivative works of the software, including unauthorized use of plugins, external tools, or services not provided or authorized by IGOODIN.
4. Rights not explicitly granted to users in this agreement remain reserved by IGOODIN.
5. All content, including text, software, audio, photos, videos, and graphics within the software or associated services, is owned by IGOODIN or related rights holders and is protected by law. Users are permitted to use this content only under authorization and are prohibited from unauthorized copying or other forms of use.
Article 4: User Guidelines
1. All users of SeaWhale are considered members. Membership policies, services, and activities are determined and published by IGOODIN.
2. Users can apply for paid membership services.
3. Users must complete payment through approved methods on the recharge interface to activate paid membership services. They should carefully verify account details, service types, and durations during the process. Once activated, errors in account details, service types, or durations will not be recognized or refunded by IGOODIN.
4. Paid membership services are limited to the rightful owner of the SeaWhale account. Users are responsible for safeguarding their account credentials and are prohibited from sharing, transferring, or selling accounts. IGOODIN is not liable for any losses caused by the user's failure to secure account credentials.
5. To maintain a high-quality experience, IGOODIN actively monitors inappropriate use of network traffic, such as abnormal studio account traffic or continuous acceleration of non-game applications. Accounts violating these rules may be temporarily or permanently suspended.
6. Unauthorized derivatives of the software are considered illegal and pose risks to users. IGOODIN is not liable for any issues arising from such software.
7. Users will receive a username and password upon successful registration. They are responsible for all activities under their account and must secure their credentials.
8. Unauthorized transfer or authorization of usernames and passwords is prohibited. Users bear full responsibility for any consequences.
9. Users must promptly report illegal use of accounts or security vulnerabilities to IGOODIN via the customer service hotline.
Article 5: Amendments to Service Terms and Revisions to the Service System
1. IGOODIN reserves the right to modify the service terms as needed. Changes will be announced on important pages.If users disagree with the changes, they may cancel the network services they have received. Continued use of the SeaWhale services signifies acceptance of the revised terms.
2. IGOODIN reserves the right to revise its service systems and pricing without prior notice. For services and pricing agreed upon prior to modifications, IGOODIN will honor the agreement until the end of the paid service term.
Article 6: User Rights and Obligations
1. Users have the right to access their username and password and use them to log into the SeaWhale membership section at any time.
2. Users must protect their account credentials. Sharing passwords with others can impact the user experience, and users are responsible for losses resulting from such actions.
3. Users have the right to enjoy internet-related technical and information services provided by SeaWhale, along with technical support and consultation. Detailed service descriptions are provided within the product documentation.
4. Users agree not to disrupt SeaWhale or its partner websites through technical or other means.
5. Users must respect the intellectual property and lawful rights of IGOODIN and third parties. If such rights are infringed, users are responsible for compensating IGOODIN and others for any resulting losses.
6. Users are solely responsible for consequences arising from providing incorrect contact details or using insecure email services.
7. Normal use of SeaWhale's acceleration services does not result in game account bans. However, bans due to user violations of game service rules (e.g., using unauthorized software) are not the responsibility of IGOODIN.
8. Users agree to adhere to national and local laws, industry practices, and public morality when using SeaWhale. Users must not use the service to store, publish, or disseminate illegal or harmful content, such as:Political propaganda or news that violates regulations;
a. Information threatening national security;
b. Obscene, defamatory, or criminal content;
c. Other content harmful to public order or morals.
9. Violations may result in service termination, and users are liable for damages caused to SeaWhale.The following actions are deemed severe violations of IGOODIN’s interests. Such behavior may lead to account restrictions, service termination, or legal consequences:Gaining paid membership services for profit;
a. Sharing or selling paid membership accounts;
b. Misusing paid membership content for unauthorized purposes;
c. Using bots, scrapers, or other unauthorized tools to access services.
10. Users may not:Log into SeaWhale using unauthorized software or tools;
a. Reverse-engineer or decompile the software;
b. Use the software for illegal purposes or violate this agreement.
11. IGOODIN may restrict or terminate services for such violations.Users are responsible for all liabilities resulting from illegal activities or violations of this agreement. IGOODIN reserves the right to take legal action or terminate services without prior notice.
Article 7: Rights and Obligations of SeaWhale
1. IGOODIN shall provide users with qualified internet technology and information services based on the chosen services and payment status.
2. IGOODIN commits to keeping user information confidential and will not disclose or authorize third-party use unless:Required under this agreement or related contracts;
a. Mandated by laws or regulations;
b. Requested by administrative or judicial authorities;
c. Authorized by the user;
d. Necessary for reporting incidents, filing lawsuits, or preventing illegal activities;
e. Essential for providing services or products.
3. IGOODIN reserves the right to use user information under the Privacy Policy.
4. IGOODIN retains the right to terminate services and user accounts for violations of laws or this agreement.
5. IGOODIN respects and protects users’ privacy by taking reasonable measures.
Article 8: Installation, Usage, Upgrades, and Termination
1. Users become authorized users of the software after accepting this agreement and completing the installation process.
2. IGOODIN reserves the right to provide modified or upgraded versions of the software. Older versions may no longer be supported.
3. Users may terminate their usage or uninstall the software at any time but understand that uninstallation will disable its features and services.
4. IGOODIN may modify or suspend software functions or services after prior notice to users.
5. Users can terminate their membership or services but are not entitled to refunds for paid fees.
6. IGOODIN may cancel services and provide a prorated refund for unused periods.
Article 9: Refund Policy
1. Eligible Products:
a. Refunds are available for first-time purchases via the Android app (excluding Google Play users). iOS and Google Play users must contact Apple/Google directly for refunds.
2. Conditions for Refunds:
a. Refunds are only granted for accelerator issues, such as persistent delays or packet loss for over three days.
b. Personal subjective reasons (e.g., no longer wanting to use the service) are not eligible for refunds.
3. Ineligible Scenarios:
a. Promotional products, prizes, or third-party purchases are non-refundable.
b. Refunds are not granted for issues caused by local network conditions.
4. Refund Process:
a. Users must contact customer service and provide detailed information for verification.
b. Refund amounts are based on depreciation and a service fee.(Monthly card 4 RMB, quarterly card 6 RMB, half-year card 8 RMB, annual card 10 RMB)
5. Additional Notes:
a. Once a refund is processed, all associated acceleration time and membership benefits are voided.
Article 10: Dispute Resolution and Applicable Laws
1. This agreement is governed by the laws of the People’s Republic of China.
2. Any disputes arising from this agreement shall be resolved through friendly consultation. If unresolved, disputes will be submitted to the jurisdiction of the court in Panlong District, Kunming.
Article 11: Legal Liability and Force Majeure
1. Users are responsible for compensating IGOODIN for any losses resulting from breaches of this agreement or third-party claims.
2. IGOODIN is not liable for damages caused by the use of the software or third-party software.
3. IGOODIN is not responsible for losses caused by force majeure events, such as natural disasters, regulatory changes, or technical issues.
Article 12: Miscellaneous Provisions
1. IGOODIN may offer additional free or paid value-added services. Any pricing adjustments will be announced, and users can choose whether to accept.
2. IGOODIN reserves the right to include advertisements within its services and is not liable for user interactions with advertisers.
3. User feedback or suggestions may be incorporated into IGOODIN’s software or services without compensation.
4. If any clause in this agreement is deemed invalid, it does not affect the validity of the remaining provisions.
5. Users must notify IGOODIN of any contact information changes. Failure to do so may result in responsibility for any consequences.
6. In the event of IGOODIN’s corporate changes, such as mergers or acquisitions, rights and obligations may transfer to the new entity.
7. IGOODIN’s failure to enforce rights does not constitute a waiver of those rights.
